Terms of Sale

ARTICLE 1 - PURPOSE AND SCOPE

These Terms of Sale (hereinafter the "Terms of Sale") define the pricing conditions and billing terms of the MyBusinessBrain service, published by [to be completed]. They apply to any subscription to and use of the Service by a professional (B2B).

The Terms of Sale supplement the Terms of Use and together form the contract between the Publisher and the User.

ARTICLE 2 - PRICING

The Service is billed on a usage basis, with no fixed-term commitment: the User is billed according to its actual use of the Service.

Replies prepared by the assistant and sent to a correspondent of the Client are billed per reply sent; a draft that is not sent is not billed. The customer relationship book assistant is billed on consumption, per million tokens: a token is the unit into which the language model splits text, and every exchange consumes input tokens (the question, the instructions and the context read from the book) and output tokens (the reply produced). The quantities consumed are measured at every exchange and can be consulted in the portal, "Billing" tab.

The applicable unit price is the one on the price grid communicated at subscription — on the site or on the accepted quote — and restated on every invoice. Only actual use is billed: per reply sent for the e-mail assistant, per token actually consumed, with no rounding and no minimum, for the book assistant.

An account opened in self-service may receive a complimentary usage credit, the amount of which appears on the price grid. As long as this credit is not exhausted, no exchange it covers is billed.

ARTICLE 3 - BILLING AND PAYMENT

Invoices are issued monthly, on the 1st of each month, for the previous month's consumption.

Payment is made according to the method agreed at subscription: either by automatic debit of the payment method registered via Stripe, or by bank transfer upon receipt of the invoice, within 30 days of its issue date.

In the event of late payment, late-payment penalties equal to three times the statutory interest rate in force apply automatically, without prior formal notice, together with a fixed recovery indemnity of 40 euros (articles L441-10 and D441-5 of the French Commercial Code).

ARTICLE 4 - SUSPENSION FOR NON-PAYMENT

If a debit fails, it is automatically retried. After three successive failures, or 30 days after the due date of an unpaid invoice, the Publisher reserves the right to suspend access to the Service. Reactivation takes place as soon as the situation is regularised.

Suspension of the Service does not release the User from paying the amounts due.

ARTICLE 5 - PRICE CHANGES

The Publisher reserves the right to change its prices. Any price change will be communicated by e-mail at least 60 days before it takes effect. A User who does not accept the change may terminate its contract without penalty before the new prices take effect.

ARTICLE 6 - REVERSIBILITY AND RETURN OF DATA

Upon expiry or termination of the contract, for whatever reason, the Publisher guarantees the User the reversibility of its data so as to ensure operational continuity and avoid any technical lock-in.

The return terms are as follows:

• Format: exportable structured data (conversation history and customer relationship book records in CSV format) and return of the knowledge-base documents uploaded by the User.
• Time frame: the return takes place at the User's request made no later than 30 days after the end of the contract; the Publisher provides the data within a reasonable time following that request.
• Deletion after return: at the end of the return period, account data is deleted when the account is closed or, upon an erasure request (art. 17 GDPR), as soon as possible; conversations follow the retention period set out in the Privacy Policy (12 months), without prejudice to the legal obligations to retain accounting and billing data (10 years).
